GENERAL TERMS AND CONDITIONS
(For Suppliers and Customers of the Platform)

These General Terms and Conditions ("Terms") govern the use of the online marketplace ("Platform") operated by [Platform Owner] and apply to both suppliers selling on the Platform ("Suppliers") and individuals or businesses purchasing products ("Customers").
By registering, accessing, or using the Platform, you agree to be bound by these Terms. If you do not accept these Terms, you must not use the Platform.
ARTICLE 1 – DEFINITIONS
For the purposes of these Terms:

"Platform" refers to the online marketplace operated by the Platform Owner.

"Platform Owner" refers to [Shaheen Ltd], registered at [71-75, Shelton Street, Covent Garden, London, WC2H 9JQ, UNITED KINGDOM].

"Supplier" means any business entity selling products on the Platform.

"Customer" means any individual or business purchasing products through the Platform.

"User" collectively refers to both Suppliers and Customers.
-
"Service Fees" refer to commissions or other charges applicable to transactions.
-
"Product" means any item listed for sale on the Platform.
-
"Force Majeure" refers to unforeseeable events beyond a party’s control, including but not limited to natural disasters, government actions, or cyberattacks.
ARTICLE 2 – REGISTRATION AND ACCOUNT MANAGEMENT

Account Creation: Users must register an account to access the Platform's services.

Accuracy of Information: Users must provide accurate, up-to-date information during registration and maintain its accuracy.

Account Security: Users are responsible for keeping their login credentials secure and must immediately report any unauthorized use of their account.

Business Verification: Suppliers may be required to submit additional documents to verify their business status.

Platform Access Rights: The Platform Owner reserves the right to suspend or terminate accounts found to be violating these Terms.
ARTICLE 3 – PRODUCT LISTINGS AND SUPPLIER RESPONSIBILITIES

Listing Accuracy: Suppliers must provide accurate descriptions, images, and specifications for all products.

Prohibited Products: Suppliers must not sell illegal, counterfeit, hazardous, or restricted goods. The Platform Owner reserves the right to remove such listings.

Compliance with Laws: Suppliers must ensure that all products comply with applicable consumer protection, safety, and intellectual property laws.

Pricing Policy: Suppliers set their own prices but agree that the Platform Owner may suggest adjustments based on market trends.
ARTICLE 4 – ORDER PROCESSING AND FULFILLMENT

Order Acceptance: Orders placed by Customers are binding once confirmed.

Shipping Obligations: Suppliers must ship orders within the agreed timeframe and provide tracking information.

Delayed Orders: If a Supplier anticipates a delay, they must inform the Customer and the Platform Owner immediately.

Failed Delivery: If an order cannot be fulfilled due to Supplier error, the Supplier is responsible for refunding the Customer.

Risk of Loss: Risk of loss transfers to the Customer upon confirmed delivery.
ARTICLE 5 – RETURNS, REFUNDS, AND DISPUTE RESOLUTION

Return Policy: Customers must request returns within [30] days of delivery.

Supplier’s Responsibility: Suppliers must process refunds for eligible returns within [7] days of receiving the returned item.

Platform Owner’s Intervention: If a dispute arises, the Platform Owner may, at its discretion, mediate and issue refunds directly to Customers, deducting the amount from the Supplier’s balance.

Non-Returnable Products: Certain items, such as perishable goods or customized products, may not be eligible for returns unless defective.
ARTICLE 6 – PAYMENTS, FEES, AND COMMISSIONS

Payment Processing
Payments for purchases made on the Platform are processed via a third-party payment provider on behalf of the Supplier. The Platform Owner does not act as the seller of the products but merely facilitates the transaction. Buyers are responsible for ensuring that sufficient funds are available to complete the purchase.

Pricing & Fees
Product prices are determined solely by the Supplier, and the Platform Owner does not influence or guarantee pricing. The Platform Owner may charge transaction or service fees for facilitating payments, which will be disclosed at checkout if applicable.

Refunds, Chargebacks & Dispute Handling
Any requests for refunds, disputes, or chargebacks must be directed to the Supplier, as the Supplier is solely responsible for handling order fulfillment and aftersales service. In case of a chargeback initiated by the Buyer, the Supplier will be responsible for the disputed amount and any related fees. If fraudulent activity is suspected, the Platform Owner reserves the right to suspend or block transactions to protect both buyers and sellers.

VAT & Taxes
The Supplier is solely responsible for charging, collecting, and remitting VAT and other applicable taxes based on the buyer’s location and the relevant jurisdiction.
For UK transactions, the following VAT rules apply:

For goods priced under £135, the Supplier is responsible for collecting and remitting VAT at the point of sale, in accordance with UK VAT regulations.

For goods priced over £135, VAT and import duties may be collected by customs authorities at the time of import, and the Buyer may be responsible for paying these charges.
The Platform Owner does not assume VAT liability, as it acts only as a service provider facilitating transactions between Buyers and Suppliers.
The Buyer acknowledges that the Supplier determines VAT rates and any displayed VAT at checkout is based on the Supplier’s tax obligations. The Platform Owner is not liable for any tax miscalculations or incorrect VAT charges.
ARTICLE 7 – LIABILITY AND INDEMNIFICATION

Supplier Liability: Suppliers are solely responsible for the safety, quality, and legality of their products.

Indemnification:

Suppliers agree to indemnify the Platform Owner against claims, losses, or damages arising from their products.

Customers agree to indemnify the Platform Owner for misuse of the Platform or false claims.

Platform Owner’s Limited Liability: The Platform Owner is not liable for:

Damages caused by Supplier products.
-
Loss of profits due to system downtime.
ARTICLE 8 – INTELLECTUAL PROPERTY

Supplier Content Usage: Suppliers grant the Platform Owner a non-exclusive, royalty-free license to use product images and descriptions for marketing purposes.

Intellectual Property Infringement: Any party found infringing copyrights, trademarks, or patents will be subject to immediate account suspension and potential legal action.
ARTICLE 9 – DATA PROTECTION AND PRIVACY

Compliance with Laws: The Platform Owner complies with applicable data protection regulations, including GDPR and CCPA.

User Data Security: Users’ personal data will be processed only for order fulfillment and service improvement.

Third-Party Sharing: The Platform Owner will not sell or share user data with third parties without explicit consent.
ARTICLE 10 – PROHIBITED ACTIVITIES
Users may not engage in the following:

Fraudulent activities, such as false product claims or fake reviews.
-
Misrepresentation of business identity.
-
Use of bots or automated systems to manipulate sales or rankings.
-
Attempts to circumvent Platform fees.
Violations may result in account suspension and legal action.
ARTICLE 11 – FORCE MAJEURE
Neither Party shall be held liable for delays or failures caused by Force Majeure events, including but not limited to:

Natural disasters (earthquakes, floods, pandemics, etc.)

Government-imposed restrictions or war
-
Cyberattacks or system failures beyond the Platform Owner’s control
Affected parties must notify the other party within [3] days of such events.
ARTICLE 12 – TERMINATION OF ACCOUNT

Voluntary Termination: Users may request account closure at any time.

Termination by Platform Owner: The Platform Owner may terminate accounts immediately if:

A Supplier repeatedly fails to fulfill orders.
-
A User engages in fraud or legal violations.
Upon termination, the User must settle all outstanding obligations.
ARTICLE 13 – GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law: These Terms shall be governed by the laws of [Jurisdiction].

Dispute Resolution: Disputes shall first be resolved through negotiation. If unresolved, disputes will be submitted to arbitration in [City, Country].
